Strategic Partner Agreement

This Strategic Partner Agreement (“Agreement”) is effective as of the date of electronic acceptance (the “Effective Date”) and is by and between Benco Dental Supply Co (“Benco”) and the customer entity electronically accepting this Agreement (the “Customer”).

This Agreement applies to all purchases of dental supplies (“Supplies”) and equipment (“Equipment”) (Supplies and Equipment, collectively “Products”) and services (“Services”) provided by Benco.

In addition to the terms and conditions of this Agreement, Benco will supply such Products and Services pursuant to the Terms of Purchase set forth at https://www.benco.com/terms-of-purchase/ (the “General Terms”) and/or the Benco Equipment Sales Agreement (“ESA”), which are incorporated herein by reference.

In the event of a direct conflict, the controlling terms are, in order of preference:
(i) this Agreement;
(ii) the Equipment Sales Agreement (“ESA”) (if applicable); and
(iii) the General Terms.

Capitalized terms not otherwise defined in this Agreement shall have the meaning set forth in the General Terms and the ESA, as applicable.

Dental Supplies & Equipment

Customer shall be entitled to purchase Supplies and Equipment from Benco’s standard Product inventory. Orders for such Products may be, as applicable, via the ESA or through this Agreement, which incorporates the General Terms.

Preferred Pricing

(a) Discounted Pricing Tier: Benco reserves the right to adjust pricing for all Products and Services based on cost increases.

Customer purchases under this Agreement shall not be eligible for BluChips or other similar Benco incentive programs.

Electronic Acceptance

Customer agrees that by checking the acceptance box and proceeding, Customer:

  • Accepts and agrees to be bound by this Agreement;
  • Confirms it has authority to bind the entity on whose behalf acceptance is made; and
  • Acknowledges that such electronic acceptance constitutes a legally binding electronic signature under applicable law.

The Effective Date of this Agreement shall be the date of electronic acceptance.
